Effective Date: August 1, 2025
Last Updated: July 30, 2026
Legal Entity: CargoGuard Inc. (dba “FleetGen”)
Formerly: Fenderr Freight (fenderr.com) - renamed, same company and same legal entity
Website: https://www.fleetgen.ai
These Terms Of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “User,” or “Subscriber”) and CargoGuard Inc. (“Company,” “FleetGen,” “we,” or “us”). These Terms govern your access to and use of the FleetGen website, mobile applications, software platforms, data services, and any related content (collectively, the “Services”).
Name change. FleetGen was previously named “Fenderr Freight” and operated at fenderr.com. This was a change of name only: the contracting party is the same legal entity, CargoGuard Inc., and the Services, your account, and your data are unchanged. Any reference to “Fenderr Freight” or “Fenderr” in a prior version of these Terms, in an order form, or in any other agreement between you and us means FleetGen, and any such agreement remains in full effect according to its terms.
By registering an account, clicking “Accept,” or using any part of our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company (such as a Motor Carrier or Freight Brokerage), you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not access or use our Services.
FleetGen provides a cloud-based logistics intelligence and management ecosystem. Depending on your subscription plan, the Services may include:
Important Legal Status:
You acknowledge that FleetGen is a technology platform provider only. We are not a motor carrier, freight broker, freight forwarder, insurance broker, or financial institution. We do not take possession of cargo, title to goods, or responsibility for the physical transportation of freight.
To use the Services, you must:
You agree to provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Some features allow a carrier to complete onboarding through a secure invite link sent by a broker, without registering a FleetGen account. If you complete an onboarding flow - for example, by signing documents electronically, submitting a W-9, Certificate of Insurance, or Authority Letter, or completing identity or bank-account verification - you agree to these Terms and our Privacy Policy with respect to that activity, even if you never register an account. Information you submit through onboarding is shared with the broker who invited you.
Access to the Services is offered through various subscription tiers (e.g., Free, Pro, Enterprise). Specific pricing, features, and billing cycles are detailed on our Pricing Page or Order Form and are subject to change.
By subscribing, you authorize FleetGen to charge your designated payment method in advance for the applicable subscription fees. Except as required by law or as expressly provided in Section 4(E), fees are non-refundable.
We may offer fee waivers or discounts based on your active enrollment in third-party partner programs (e.g., fuel cards or factoring services). If you unenroll or become inactive in these partner programs, FleetGen reserves the right to immediately revert your account to the standard, full-price subscription rate.
You may cancel your subscription at any time via your account dashboard or by contacting support. Your access will continue through the end of your current billing cycle.
If you are a first-time subscriber to a paid plan, you may request a full refund of your first subscription payment by emailing legal@fleetgen.ai within thirty (30) days of the date of that first charge. The following conditions apply:
Our Services may integrate with third-party platforms, including but not limited to Electronic Logging Devices (ELDs), load boards, factoring companies, and accounting software (e.g., QuickBooks). By enabling these integrations, you grant FleetGen the right to access, store, and analyze data from these sources.
FleetGen acts solely as a connector to third-party services (such as fuel discount programs or factoring). We are not a party to any agreement between you and these providers. We are not responsible for the acts, omissions, rates, or service failures of any third-party provider.
You authorize your wireless carrier to use or disclose information about your account and your wireless device, if available, to CargoGuard Inc. or its service provider for the duration of your business relationship, solely to help them identify you or your wireless device and to prevent fraud. See our Privacy Policy for how we treat your data.
All software, code, algorithms, visual designs, and data compilations available on the Services are the property of CargoGuard Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. Restrictions on how you may use the Services and platform data are set out in Section 7 (Acceptable Use).
You retain ownership of the documents, data, and other content you upload or submit to the Services (“Your Content”). You grant CargoGuard Inc. a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, reproduce, and display Your Content as reasonably necessary to (i) operate, secure, and improve the Services; (ii) display verification results, documents, and related information to the counterparties you transact with through the Services (for example, a broker who invited you to onboard); and (iii) comply with law. You represent that you have the rights and consents necessary to submit Your Content, including any consents required from your drivers or employees for location tracking you enable.
We may create aggregated or de-identified data from Your Content, your use of the Services, and overall platform activity - meaning data that does not identify you, your company, or any individual. We may use, share, and commercialize aggregated or de-identified data for any lawful business purpose, including industry benchmarks, fraud-signal research, and market analytics. We will not attempt to re-identify aggregated or de-identified data, and we will require anyone who receives it from us to honor the same restriction.
If you send us suggestions or feedback about the Services, we may use them without restriction or obligation to you.
You agree that you will not:
We may suspend or terminate accounts that violate this Section as described in Section 12 (Termination).
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
FleetGen aggregates data from various sources, including government databases (e.g., FMCSA, SAFER), third-party telematics (ELDs), and user submissions. We do not verify this data independently. You acknowledge that:
FleetGen makes no representation or warranty regarding the accuracy, timeliness, or completeness of any carrier or broker data. Sample reports, screenshots, statistics, and demonstrations shown on our website or in marketing materials are illustrative only and are not a representation or warranty about any particular result.
While our broker tools are designed to assist in risk mitigation and the detection of double-brokering, FleetGen does not guarantee the prevention of fraud, cargo theft, identity theft, or double-brokering. Sophisticated bad actors may bypass detection methods.
The decision to tender a load to a carrier or accept a load from a broker is solely yours.
FleetGen is not an insurer and does not guarantee the performance or honesty of any user on the platform.
The Services use automated systems, including artificial-intelligence models, to read and extract information from uploaded documents, generate verification results and risk scores, and match records across entities (the “relationship graph”). Automated outputs can contain errors, miss fraud, or produce false positives. All scores, flags, verdicts, and extracted data are advisory only. You are responsible for independently verifying any output before relying on it for a business decision.
Monitoring features depend on third-party data sources that refresh on their own schedules. We do not guarantee that monitoring will detect every change, or that alerts will be timely, complete, or delivered. You should not rely on alerts as your only safeguard.
FleetGen is not a “consumer reporting agency” as defined by the federal Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. (“FCRA”), and the Services and the data they provide are not “consumer reports.” You may not use the Services, or any data obtained from them, to determine any individual’s eligibility for credit, insurance, employment, housing, or any other purpose covered by the FCRA.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
NO CONSEQUENTIAL DAMAGES: CargoGuard Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, CARGO THEFT, OR BUSINESS INTERRUPTION, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
SPECIFIC SITUATIONS: WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM: (I) YOUR RELIANCE ON ANY CARRIER VERIFICATION SCORE OR "APPROVED" STATUS; (II) ERRORS IN ELD TRACKING DATA; (III) THE FRAUDULENT ACTS OF THIRD PARTIES; (IV) ERRORS OR OMISSIONS IN AI-ASSISTED DOCUMENT EXTRACTION OR AUTOMATED SCORING; OR (V) DELAYED, MISSED, OR UNDELIVERED MONITORING ALERTS.
LIABILITY CAP: IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID TO FLEETGEN FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless CargoGuard Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
Before filing any claim, you agree to send a written description of the dispute to legal@fleetgen.ai. You and we agree to try in good faith to resolve the dispute within thirty (30) days of that notice before starting arbitration or any other proceeding.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The Federal Arbitration Act governs this Section. The arbitration shall take place in Sheridan County, WY, by videoconference, or at another mutually agreed location. You waive any objection to jurisdiction or venue in such forums.
All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and the arbitrator may not consolidate the claims of more than one party. TO THE EXTENT PERMITTED BY LAW, YOU AND CARGOGUARD INC. EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
Either party may bring an individual claim in small-claims court. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or to stop unauthorized use of the Services or platform data.
You may opt out of this arbitration agreement by emailing legal@fleetgen.ai within thirty (30) days of first accepting these Terms, stating your name, your company, and your intent to opt out of arbitration. Opting out of arbitration does not affect any other part of these Terms.
To the extent permitted by law, any claim arising out of these Terms or the Services must be filed within one (1) year after the claim accrued, or it is permanently barred.
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.
Upon termination, your right to access the Services ends, and we may retain or delete your data as described in our Privacy Policy. Sections 6, 8, 9, 10, 11, and 16 survive termination of these Terms.
You consent to receive agreements, notices, disclosures, and other communications from us electronically - by email, text message, or in-product notice - and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
You agree that electronic signatures executed through the Services, including carrier-broker agreements and onboarding documents, are valid and binding under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law, including the Uniform Electronic Transactions Act (UETA).
To receive electronic communications, you need a device with a current web browser and an active email address. You may withdraw your consent to electronic communications by contacting legal@fleetgen.ai; withdrawing consent may prevent you from using features that depend on electronic records.
By opting in to receive SMS notifications from FleetGen, you agree to receive account updates, broker requests, and system alerts via text message.
We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.
For material changes that affect existing subscribers, we will provide notice by email or in-product notice at least fifteen (15) days before the change takes effect.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
Entire Agreement. These Terms, the Privacy Policy, and any order forms you accept make up the entire agreement between you and us regarding the Services.
Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our written consent.
No Waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to enforce it later.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of government data sources, internet or utility failures, labor disputes, and natural disasters.
Notices. We may give you notice at the email address associated with your account. You may give us notice at legal@fleetgen.ai.
No Third-Party Beneficiaries. These Terms do not create any rights for any third party.
Export and Sanctions. You may not use the Services in violation of United States export-control or sanctions laws.
